NOTICE OF ANNUAL GENERAL MEETING 2025 OF THE INSTITUTE OF INTERNAL AUDITORS NZ (Inc)

TO BE HELD ON WEDNESDAY 21 MAY 2025, COMMENCING AT 12 NOON

To be held face to face at PwC New Zealand, PwC Centre, Level 4, 10 Waterloo Quay, Wellington and by video conference.

Notice of Business

• Receiving apologies.
• Approving the minutes of the AGM 2023 held on 22 May 2024.
• Receiving the Annual Report for the year ending 2024.
• Election for the vacancies on the National Board for 2025 - 2026.
• Adoption of the new IIA NZ Constitution
• Any remits, if applicable.
• General Business for which due notice has been given.

The agenda and all documentation relating to the IIA NZ AGM 2025 will be released on 28 April 2025.

The Annual Report and Financial Statements for the year ending 2024 will be released on 28 April 2025.

The IIA NZ Board Elections 2025 Candidate Profiles and Voting Form will be released prior to 28 April 2025 and will close on Wednesday, 14 May 2025, 5 pm.

To assist with the flow of the AGM please send any questions relating to the Annual Report or Financial Statements to admin@iianz.org.nz prior to the close of business on Monday 12 May 2025. These will be answered during the AGM. This does not preclude the asking of questions at the AGM.

In accordance with section 9.2.iv of the IIA NZ current Constitution. Should a member wish to bring before the AGM any notice of motion, or business not relating to the ordinary business of The Institute shall give notice in writing to IIA NZ office not less than fourteen (14) calendar days before the day of the meeting.

Please register your attendance in person or by Video Conference.

AGM registrations are now open.

If you wish to attend the AGM online, please ensure you register before Monday 19 May 2025, to allow the IIA NZ National Office sufficient time to send the online link to you.

For those attending the AGM in person, registrations will remain open until the start of the AGM on Wednesday 21 May, at midday, where you will be able to register manually if you haven't already registered.

Voting opens on 28 April 2025, and closes on Wednesday 14 May 2025, at 5 pm.

Please note: This year, all IIA NZ AGM voting will be conducted online only. There are two separate voting forms - one for Proxy voters and one for Non-Proxy voters.

Please ensure you complete and submit the correct form with your vote and signature by the closing date: Monday, 12 May 2025, at 5 pm.
